The programme equips participants with targeted expertise in business law and corporate governance, focusing on the legal underpinnings of corporate structures, contractual relations, and governance responsibilities within a comparative and international legal framework. Participants will develop a nuanced understanding of how regulatory obligations influence decision-making processes across diverse business settings.

Contemporary labour markets increasingly require legal professionals who can navigate the interconnections between law, sustainability, finance, corporate governance, and responsible corporate governance. As legal and regulatory frameworks become more complex and as expectations regarding ethical conduct and business transparency continue to rise, the demand for professionals with interdisciplinary knowledge and practical competence is growing steadily.

Upon completion, participants will be equipped to provide legal guidance on complex corporate governance matters, address regulatory challenges in international business, and contribute to organisational transparency and accountability. Module I: International and Comparative Commercial Contract Law

This module provides a comprehensive exploration of commercial contract law, examining how contractual relations are formed, performed, and enforced across different legal systems. Participants will engage with core principles of contract law, comparing civil law, common law, and other legal traditions while addressing contemporary issues such as digitalisation and smart contracts. The module also covers key commercial agreements, including sales, distribution, franchising, leasing, and factoring, with a particular focus on their economic rationale, legal nature, and regulatory frameworks. Additionally, the module incorporates a critical analysis of international economic law, exploring the role of international organisations, model laws, and conventions in shaping commercial transactions and dispute resolution in a globalised business environment.

Module II: International and Comparative Corporate Law and Governance

This module delves into the foundations of corporate law through a comparative analysis of key jurisdictions, with a particular emphasis on European and U.S. corporate governance frameworks. Participants will explore core institutions of corporate law, including corporate structures, shareholder rights, and the distinct roles and responsibilities of directors and supervisory bodies. The module also examines contemporary regulatory challenges, such as fiduciary duties, conflicts of interest, and director liability, while integrating discussions on corporate social responsibility and sustainable business practices. Emphasis is placed on the evolving role of corporate social responsibility (CSR) and sustainable business practices, analyzing how legal frameworks are being adapted to address environmental, social, and governance (ESG) standards across jurisdictions.

Module III: International and Comparative Business Finance and Regulation

This module explores the complex landscape of business finance and regulation, integrating legal frameworks governing financial management, forensic accounting, and the regulatory oversight of financial misconduct. Participants will engage with core principles of financial reporting, examining how financial data is structured, disclosed, and regulated in comparative jurisdictions. The module further addresses forensic financial analysis, emphasizing the detection of irregularities, fraud, and regulatory breaches, with a focus on corporate governance implications. Furthermore, the module delves into the regulatory and governance frameworks specific to the banking sector, highlighting the evolving role of central banks, international financial institutions, and the impact of monetary policy on financial stability. Through a comparative perspective, participants will gain critical insights into how legal frameworks shape financial practices and governance across different jurisdictions.

Programme specifics

The programme is delivered online, using modern tools for interactive distance learning. Courses are structured in compact online teaching blocks, with each course comprising 15 contact hours. At the end of the programme, participants attend a one-week in-person Bootcamp held in Piran, Slovenia, which serves as the foundation for the Capstone Project.

The programme uses a carefully selected combination of teaching and learning methods that aim to develop advanced legal thinking, structured reasoning, and comparative legal analysis. The emphasis is on building the ability to interpret complex legal frameworks, communicate arguments with clarity and precision, and apply legal knowledge across various legal and institutional settings.

The programme is intended for professionals who work, or intend to work, in environments where legal diversity, regulatory complexity and economic interdependence are key elements of business decision-making. Special attention is given to the Euro-Mediterranean region, including the member states of the European Union, countries of the Western Balkans (e.g. Serbia, Montenegro, Albania, North Macedonia), Turkey, the Middle East and North Africa (MENA), as well as India, which is an increasingly important partner in global economic and legal affairs.
